CHARLOTTE — Harris Teeter Supermarkets here said Robert H. Spilman Jr. has been designated as its lead independent director. The announcement followed the board’s approval of an amendment to company bylaws allowing for such a designation.
Spilman has been a director of Harris Teeter since 2002 and will continue to serve as chairman of the board’s corporate governance and nominating committee. As lead independent director, Spilman will preside at the executive sessions of non-management and independent directors, serve as the principal liaison between the chairman of the board and the independent directors, and consult with the chairman of the board regarding information to be sent to the board, meeting agendas and establishing meeting schedules.

Harris Teeter’s board also approved a quarterly dividend of 14 cents per share, to be paid in October.
