Software Providers RedPrairie, JDA to Merge
ATLANTA — RedPrairie here and JDA Software, Scottsdale, Ariz., both suppliers of enterprise software and services to retailers and manufacturers, announced today that JDA and affiliates of RedPrairie have entered into a definitive merger agreement.

ATLANTA — RedPrairie here and JDA Software, Scottsdale, Ariz., both suppliers of enterprise software and services to retailers and manufacturers, announced today that JDA and affiliates of RedPrairie have entered into a definitive merger agreement.
RedPrairie is paying $1.9 billion for JDA, acquiring all outstanding shares of JDA common stock for $45 per share. The new company will have revenues of over $1 billion. The transaction is expected to close by the end of 2012.

JDA’s applications focus on supply chain planning, merchandising and pricing while with RedPrairie’s deal with warehousing, workforce management, store operations and e-commerce. JDA’s food retail clients include Meijer, Food Lion, Save Mart and BJ’s Wholesale Club while RedPrairie’s include Giant Eagle, Publix, Supervalu and Hy-Vee.
Following completion of the transaction, Hamish Brewer, president and chief executive officer of JDA, is expected to lead the combined company as its CEO. “The combined company will have a unique ability to address our customers’ increasingly complex needs with a full spectrum of solutions for planning and execution across the entire value chain,” said Brewer, in a statement.
